Introduction, General

The General Terms and Conditions apply to all services of CoWomen UG (haftungsbeschränkt), hereinafter referred to as CoWomen, towards its customers/contractual partners. General Terms and Conditions of the customer, which are in contradiction to the General Terms and Conditions or go beyond them, have no validity without express written confirmation by CoWomen.

The offer is directed to private customers as well as to entrepreneurs and companies. Entrepreneur is any natural person or legal entity or partnership with legal capacity, which acts in exercise of its commercial or independent professional activity when concluding the contract. In the following, the contractual partner is also referred to as “user” or “member”.

 

Service description

Our room and service offers

Objects of the offer of CoWomen are the provision of seats and workstations, the premises including Internet use (W-LAN), technical office infrastructure, offers for personal and professional development and additional services in connection with the aforementioned offers, such as the organization of events, access to beverages (free of charge and subject to charge) as well as offers for catering with snacks such as fruit and access to the kitchenette. Other services can be added subject to availability such as workshop materials, lockers, studio equipment such as cameras and microphones.

Depending on the type of contract selected, the possibility of use is limited to a certain type of use on individual services and/or a certain time. The prices and conditions of the services offered by CoWomen are available upon request. Valid proof of benefits must be presented to the CoWomen management or an authorized employee.

Hours and options for use are available at https://CoWomen.com or upon request. If applicable, the Space will open or close for other exclusive events or days for users. These will be communicated in good time, usually in the calendar on the website or in the digital member area. If possible, users will be offered alternative spaces. There is no claim to premises, if CoWomen has to close them for certain times.

Participation in the offers is based on availability.

The premises can be used by all people (regardless of gender or non-gender); the focus of the CoWomen brand is on women.

In the event of damage, members are fully liable for any damage caused to the rental property and premises.

Seating and workspace

CoWomen provides seating and workspace in common areas to its users under various rate plans. These spaces include a place at a work table with a chair or a seat and power outlets, depending on availability. In addition, each user has Internet access via WLAN. The user of CoWomen has convinced himself of the functionality of the offered space before signing the contract. No guarantee can be given for the availability of a free place at any time. Also, there is no claim to a certain place in the rooms (depending on the respective memberships). The spaces must be completely vacated and, if necessary, cleaned by the user at the end of each day of use.

Membership with CoWomen, Termination

The contract begins with the signing of the contract and is concluded with an indefinite term for the specified duration in each case. Unless otherwise stated or agreed, memberships are renewed for one month at a time unless notice is given up to 7 days prior to renewal. The signing of the contract corresponds to the confirmation of the agreement to the present description of the GTCs and by the individual registration at the digital member area.

The termination is made, for example, by e-mail to members@CoWomen.com or online in the administration via the member platform. The right to early termination for cause remains unaffected for both parties and for all cases. CoWomen can terminate the contractual relationship without notice with immediate effect if there is a reason for extraordinary termination, for example, the user is twice in arrears with his payment obligations, culpably violates his contractual obligations in any other way, acts detrimental to the community or moves away. Furthermore, if the basis for the user relationship with the user ceases to exist (termination of the main lease between CoWomen UG and landlord).

Closed member area of CoWomen

Members of CoWomen have exclusive access to a digital area. The deletion of the profile takes place twelve months after the cancellation date of the membership or earlier upon request.

 

Digital membership

CoWomen offers a digital-only membership. This is currently hosted on “mighty networks”. CoWomen reserves the right to change the digital platform. Should this occur, members have an extraordinary right of termination.

Membership fees will be processed digitally and prior to access. Access is granted only if members agree to offer one hour of their time per month to other members who have questions in the particular field of expertise or interest.

CoWomen can exercise the right to delete members from the digital community at the next possible moment, if this agreement is not respected. Unpleasant behavior can also lead to exclusion.

There is no guarantee for offers like free trial days/weeks.

Other offers within the platform, such as courses or events, may be subject to a fee.

 

Use of platforms for external persons

For the booking of premises or, if applicable, tickets for events as well as other services, CoWomen creates user accounts if required. When completing the bookings, the person agrees to the specified conditions. The person’s information will be stored for up to twelve months, deleted earlier if requested.

When booking day passes (also free with voucher), a user profile is created to check the person in and out.

Events

CoWomen offers different event formats. Booking/reservation is usually done online. For non-members usually at https://CoWomen.com/ and for members in the members area. Paid events are paid online at the time of ticket booking or charged to members of certain rates with the monthly bill.

Attendance cannot be guaranteed with limited capacity.

Cancellations and changes to events

The following deadlines apply to cancellations and changes to event bookings, unless otherwise stated with the events:

For free events or so-called “community events”:

  1. members

Cancellations up to 24 hours before the start of the event are free of charge. Later cancellations are subject to a fee of EUR 5-10, depending on the event.

For events of all other formats:

  1. members

Cancellations up to five days before the start of the event are free of charge. Refunds will be made via the selected payment method. For later cancellations, the full price must be paid.

  1. non-members

Cancellations up to seven days before the start of the event are free of charge. The amount will be refunded via the selected payment method. For later cancellations, the full price is payable.

 

Additional services

Printer

CoWomen users may use the printer on a limited basis. The use of the printer is not guaranteed. Print format is DIN A4. Access software may need to be installed, which CoWomen does not guarantee will work. CoWomen cannot guarantee that all printing colors will be available. CoWomen asks that you use the printer sparingly and print in black and white if possible.

 

Use of the WLAN

CoWomen provides users with an internet connection, the use of which is included in the usage fees for current users of CoWomen and their clients. The user is solely responsible for all his actions and omissions in the context of internet use. He undertakes to observe the legal and copyright regulations. Copying, distributing or downloading copyrighted works (music, movies, etc.) is strictly prohibited and constitutes a breach of contract. In this respect, the user indemnifies CoWomen from all claims of third parties and agrees to compensate CoWomen for any damage arising from infringement. This also includes necessary legal and consulting costs as well as warning fees.

Bookings of rooms and/or other resources

Bookings can be made preferably online, exceptionally by e-mail or by telephone. CoWomen confirms the booking, which creates a legally valid contract. Bookings can only be made according to availability. Bookings of workshops, events as well as bookings outside regular opening hours including weekend bookings require separate approval.

Depending on the memberships, certain quotas are included for the available premises. These can be used on a monthly basis subject to availability. Unused allotments will not carry over to the next month. Additional bookings can be made based on availability at current rates.

Prior to use, users must check the functionality of the rooms and the booked equipment and/or furniture and notify CoWomen immediately if there is any damage. Users are fully liable for damages. An assumption of costs by the insurance of CoWomen will be checked.

Assembly and disassembly must be included in the booking time. For every 30 minutes or part thereof, the normal rental fees will be charged or free minutes will be used up.

Booking/Rental of Studio Equipment

Users may book studio equipment subject to availability. The studio equipment includes cameras, microphones, a laptop and other equipment such as lamps, backgrounds, depending on availability. The equipment can only be used in the designated premises. Exceptions to this must be agreed with the management or authorized employees of CoWomen. The recordings are made directly with the laptop of the user or a data carrier of the user. If available, CoWomen can provide a laptop or storage medium, which will be returned at the end of the rental period without the newly created files.

Prior to use, users must check the functionality and notify CoWomen immediately if there is any damage. The users are fully liable for damages. CoWomen’s insurance will consider covering the costs. The users have to deposit an identification document to the employees of CoWomen as a deposit before using the studio equipment.

Users must be instructed in or already have knowledge of use.

Cancellations of rooms or equipment

The following deadlines apply to members (CoWomen):

Media and Meeting Room & Studio Equipment.

The room and equipment can be booked up to one hour prior to the start of the booking. Cancellations and changes can be made up to 12 hours prior to booking. Later cancellations will be charged for the hours.

Coworking Space & Community Area:

Booking for the space can be requested up to 12 hours before the start of the booking. There is no booking guarantee. Cancellations and changes can be made up to 120 hours (five days) prior to booking.

Late changes/cancellations will not be accepted and the booking will be charged in full.

 

The CoWomen Space:

Booking for the space can be requested up to 72 hours before the start of the booking. There is no booking guarantee. Cancellations and changes can be made up to 14 days prior to booking.

Late changes/cancellations will not be accepted and the booking will be charged in full.

 

The following deadlines apply to non-members:

Media and Meeting Room & Studio Equipment.

The room and equipment can be booked up to one hour prior to the start of the booking. Cancellations and changes can be made up to 48 hours prior to booking.

Coworking Space & Community Area:

Booking for the space can be requested up to 12 hours before the start of the booking. There is no booking guarantee. Cancellations and changes can be made up to 168 hours (seven days) prior to booking.

Late changes/cancellations will not be accepted and the booking will be charged in full.

The CoWomen Space:

Reservations for the space may be requested up to 72 hours prior to the start of the booking. There is no booking guarantee. Cancellations and changes can be made up to 14 days prior to booking.

Late changes/cancellations will not be accepted and the booking will be charged in full.

 

Business address

Members and non-members may use the CoWomen Space address as their business address and have their correspondence sent to CoWomen for an additional monthly fee. You will be notified daily when mail is received via email or in the digital member area. On closing days, emptying of the mailbox and information about received mail cannot be guaranteed.

Individual arrangements to forward mail for a fee can be made.

 

Access, times, billing / locking system

The opening hours and possibilities of use can be found on https://CoWomen.com. These depend, among other things, on events taking place on the premises. Opening hours that go beyond the regular opening hours must be coordinated with the CoWomen management or authorized CoWomen employees. These can be booked additionally.

Members will be given digital access to the locking software used to gain access to the Space. These accesses are stored in the software.

Contracts for individual meeting, coaching or event spaces must be coordinated with CoWomen management or authorized CoWomen staff.

A physical key will be issued if required. The user may not copy, lend or give the key to third parties for use. He is not authorized to grant others access to the rooms. The user is fully liable for wear and tear, consumption costs or damage caused by unauthorized use. The user must also ensure that windows and doors are properly closed again when leaving the rooms. The user is fully liable for any damage caused by open windows or unlocked doors. Physical keys must be returned upon termination of the contractual relationship. For the handing over of a physical key, the user may have to pay a deposit of EUR 50.00, which will be returned upon return. In case of loss of the key or damage to the locking system, the user is liable for the resulting costs.

 

Warranty / Liability

The user has inspected the premises before conclusion of the contract. He has convinced himself of the conditions and the furnishing of the coaching, meeting or event rooms. Because of the condition known to him, he waives any claims according to §§ 536, 536 a BGB. Claims for reduction do not exist in this respect. CoWomen does not guarantee the condition of the respective workplace or room to the user at the time of handover and for the duration of use. The user acknowledges that the respective workplace used by him, including all furnishings, is in a condition in accordance with the contract before the start of use. In all cases in which CoWomen is obligated to compensate for damages or expenses in the course of business on the basis of contractual or legal claims, CoWomen is only liable insofar as executive employees or vicarious agents are guilty of intent or gross negligence. This does not affect the liability for culpable violation of essential contractual obligations and guarantees as well as the liability for personal injury. However, the liability is limited to the foreseeable, contract-typical damage. Liability for consequential damages, in particular for loss of profit or compensation for damages to third parties, is excluded, unless CoWomen is guilty of intent or gross negligence. The user is responsible for the sufficiently secure locking of rented cupboards, drawers or similar. CoWomen is not liable for stolen items or items damaged by third parties.

Tariffs, payment modalities

The price list published on https://CoWomen.com or the individual agreement with the management applies. We charge our members the monthly membership fee at the beginning of the contract pro rata to the first of the month and then to the first of each month. Other options, especially for digital-only memberships may be possible.

Other accrued room rentals and fees for other services will be collected and listed with the next membership invoice. Room bookings are typically invoiced immediately after the booking is made. If the invoice amounts due exceed 500€, we may issue interim invoices. Payment of the invoice is done non-cash preferably by credit card or Paypal, otherwise by bank transfer by arrangement. The parties agree on a lump-sum cost compensation of EUR 10.00 per case for the non-redemption or the later retraction of credit notes. The User shall raise objections to the invoice in writing within two weeks of the invoice date. Objections do not entitle the user to reclaim amounts already paid (return debit note). If CoWomen accepts the objections in whole or in part, any overpaid amounts will be refunded.

CoWomen will charge reminder fees if the outstanding invoice amounts are not received by CoWomen within 14 days.

Payments must be made manually by the users. For this purpose, invoices will be sent by e-mail on the due date with a link to the payment. CoWomen reserves the right to change the payment system and to enable payments online with third party payment providers.

Changes to the terms and conditions

CoWomen is entitled to change offered prices, service descriptions and these GTC. The changes will be announced electronically to the users of CoWomen. CoWomen will use the e-mail address stored in the user account for this purpose. If the change of the GTC is not objected within fourteen days after receipt of the change notice, the changed GTC are considered accepted. In case of objection, the contractual relationship will be terminated on the next termination date, a failure to object is considered as confirmation and acceptance of the changes by the user (tacit agreement).

CoWomen reserves the right to make deviating arrangements with members individually, provided that they are in accordance with common sense and are reasonable for all parties.

 

Privacy policy

For all provisions regarding data protection, please refer to the separate data protection guidelines at https://CoWomen.com/privacy. By accepting the General Terms and Conditions, these provisions are deemed to have been accepted.

Severability clause

In the event that individual clauses of the General Terms and Conditions or the contract concluded with CoWomen are invalid, the validity of the remaining provisions shall not be affected. The wholly or partially invalid provision shall be replaced by a provision whose economic success comes as close as possible to the invalid provision and the intention of the parties; the same applies in the event of a loophole. Should laws make it necessary to amend or adapt individual provisions of this contract, the parties agree to replace the old provision with the new law until a new provision of their own is brought about.

Place of jurisdiction

These GTC and the contracts referring to them are subject to the law of the Federal Republic of Germany under exclusion of the UN Convention on Contracts for the International Sale of Goods. The place of performance and fulfillment and the place of jurisdiction for all claims and disputes arising from these GTC and the respective contract shall be Berlin.
